E4Impact Foundation B2B Platform Terms and conditions
1. Terms and conditions
These terms and conditions (“T&Cs”) govern the access by the user (“User”) to the E4Impact Platform (“Platform”) available at www.e4impactb2b.com and developed by E4Impact Foundation Social Enterprise, with registered office in Milan, Italy, 20122, Galleria de Cristoforis 8, Fiscal Code no. 97732570151 (“E4Imapct”), a not-for-profit organization established under Italian law that supports the start-up and growth of new businesses in Africa.
2. The Platform
The Platform is designed to help African companies and entrepreneurs connect with international and African investors and partners, engage in new collaborations and share best practices by (1) uploading and sharing valuable information and documents; (2) chatting with other Users.
3. Registration
3.1. User registration to the Platform and its use are free.
3.2. The User guarantees that: (1) the User is a legal entity or a natural person acting for purposes that are not outside his trade, business, craft, or profession; (2) the natural person who files the registration form has the authority to enter into these T&Cs in the name and on behalf of the User, being alternatively the User itself or a legal representative of the User; (3) the information provided within the registration are true, complete, accurate and up-to-date.
3.2. The User is responsible for safeguarding its Platform access login and password (“Credentials”). Credentials must not be shared with or made available to third parties. If a breach or compromise is suspected, it must be reported to E4Impact immediately. In case of failure to do so, the User will be held responsible for any consequences or damages resulting from unauthorized or improper use of the Credentials.
4. Intellectual Property
4.1. E4Impact owns all copyrights, trademarks, domain names, logos, distinctive signs, trade secrets, patents, and other intellectual property rights associated with the Platform. E4Impact grants the User a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to enable the User to use the Platform according to these T&Cs.
4.2. To provide the services associated with the Platform, the User grants E4Impact a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display the information and documents uploaded by the User through the Platform.
5. Users Duties
5.1. The User shall use the Platform according to these T&Cs and guarantees that the information and documents, including personal data, uploaded on the Platform, even through links to external websites: (1) are up-to-date, complete, truthful, correct, and that their uploading doesn’t infringe the rights of third parties; (2) are not likely to mislead or damage the Platform, those who access the Platform, and E4Impact itself or its reputation; (3) are not, or may be perceived as unlawful, defamatory, vulgar, obscene, offensive, harassing E4Impact, those who access the Platform, and third parties.
5.2. The Users shall indemnify and hold E4Impact harmless from any liability or obligation arising from any breach of these T&Cs.
6. Availability of the Platform
6.1. The User, at any time, may terminate and delete its Platform account.
6.2. E4Impact reserves the right, at its sole discretion, to (1) moderate discussions, delete any content deemed in its sole discretion inappropriate; (2) change and update the Platform and its contents, configuration, and availability; (3) unilaterally update and modify these T&Cs; (4) remove information and documents uploaded by the User; (5) suspend, terminate or delete the User’s account and the Platform activity. In these cases, the User shall not be entitled to claim any compensation or damage.
6.3. In any case of termination or deletion of the account, the User acknowledges that: (1) E4Impact shall not guarantee the storage of the information and documents uploaded by the User; (2) other Users may download and re-share information and documents uploaded by the User before the termination or deletion of the account.
6.4. Except in case of fraud, gross negligence, or intentional misconduct, E4Impact is not responsible for: (1) information and documents uploaded by the User and their unauthorized use by other Users; (2) any interruption of the Platform activity or User’s inability to access the Platform; (3) any User’s loss of profits, business opportunities, reputation, data, or for any direct, indirect, incidental, consequential, special, or punitive damage suffered by the User due to the use of the Platform.
7. Privacy
7.1. E4Impact recognizes the importance of personal data protection, declaring to have taken the appropriate technical and organizational measures to ensure a proper level of compliance with the data processing regulations, with specific reference to the European Regulation 2016/679 (General Data Protection Regulation).
7.2. The User declares to have read, understood, and accepted the Platform privacy notice available at www.e4impactb2b.com. 8. Governing law and dispute resolution 8.1. These T&Cs shall be construed and enforced under the provisions of Italian law. 8.2. Any disputes concerning the use of the Platform and interpretation or application of these T&Cs shall be subject to the exclusive jurisdiction of the Court of Milan, Italy.
